Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Agent Loop platform, website and associated services (collectively, the "Service") provided by Agent Loop (Pty) Ltd, a company registered in South Africa ("Agent Loop", "we", "us").

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

1. Eligibility

  • You must be at least 18 years of age.
  • You must be a registered estate agent holding a valid Fidelity Fund Certificate (FFC) issued by the Property Practitioners Regulatory Authority (PPRA), or be in the process of obtaining one.
  • You must provide accurate and complete registration information.
  • You must not have been previously suspended or removed from the Service.

2. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately at admin@agentloop.digital if you suspect unauthorised access. We reserve the right to disable accounts that we believe have been compromised.

3. PPRA Verification

Access to certain features requires PPRA verification. You consent to us cross-checking your FFC number against the PPRA public register. Providing false credentials is grounds for immediate account termination and may constitute a criminal offence under the Property Practitioners Act 22 of 2019.

4. Subscription and Payment

  • The Service is offered on Free, Starter, Professional and Enterprise tiers.
  • Paid subscriptions are billed monthly or annually in advance via Stripe.
  • All prices are in South African Rand (ZAR) and exclusive of VAT unless stated otherwise.
  • Subscriptions auto-renew unless cancelled before the renewal date.
  • Refunds: we offer a 14-day money-back guarantee on first-time paid subscriptions. No refunds are issued for partial months after the 14-day window.
  • We reserve the right to change pricing with 30 days' notice.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Upload or transmit content that is false, misleading, defamatory, or fraudulent
  • Use the Service to spam, harass or send unsolicited commercial communications
  • Attempt to circumvent any security, access control or rate-limiting feature
  • Scrape, crawl or extract data from the Service except through authorised APIs
  • Reverse-engineer, decompile or disassemble any part of the Service
  • Use the AI matching engine to discriminate against any person in violation of the Equality Act
  • Upload data for which you do not have lawful authority

6. Your Content

You retain ownership of all content you upload to the Service ("Your Content"). By uploading content you grant Agent Loop a limited, non-exclusive, worldwide, royalty-free licence to host, store, process and display Your Content solely to provide the Service to you. We will not use Your Content to train AI models without your explicit consent.

7. Client Data and POPIA Compliance

You are solely responsible for ensuring that any personal information about your clients that you upload to the Service has been collected with proper POPIA consent. You indemnify Agent Loop against any claim arising from your failure to obtain such consent. See our Data Processing Agreement.

8. AI Features — Limitations

Our AI matching engine provides recommendations as a tool to assist your professional judgment. Match scores and summaries are indicative only and do not constitute professional advice. You remain solely responsible for all decisions made on the basis of AI output. Agent Loop makes no warranty that AI recommendations are accurate, complete or suitable for any particular purpose.

9. Third-Party Integrations

The Service integrates with third-party platforms (Gmail, WhatsApp, Property24, etc.). Your use of those integrations is also subject to the relevant third-party terms. Agent Loop is not responsible for third-party platform availability, data accuracy or policy changes.

10. Intellectual Property

The Service, including all software, algorithms, designs, trademarks and content created by Agent Loop, is owned by or licensed to Agent Loop and protected by South African and international intellectual property law. Nothing in these Terms transfers any IP rights to you.

11. Availability and Downtime

We aim for 99.5% monthly uptime excluding scheduled maintenance. We will provide at least 24 hours' notice for planned maintenance. We do not guarantee uninterrupted access and are not liable for losses caused by unavailability.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the Service will be error-free or that defects will be corrected.

13. Limitation of Liability

To the maximum extent permitted by South African law, Agent Loop's total liability to you for any claim arising out of or relating to the Service will not exceed the amount you paid to Agent Loop in the 12 months preceding the claim. In no event will Agent Loop be liable for indirect, incidental, special, consequential or punitive damages, including lost profits or data loss.

14. Indemnification

You agree to indemnify and hold harmless Agent Loop, its directors, employees and agents from any claim, liability, loss or expense (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your failure to comply with POPIA.

15. Termination

You may cancel your account at any time from Settings. We may suspend or terminate your account immediately if you breach these Terms, fail PPRA verification, or if your FFC lapses. Upon termination, your right to access the Service ceases. We will retain your data in accordance with our Privacy Policy.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of South Africa. Disputes will first be referred to good-faith negotiation. If unresolved within 30 days, disputes will be submitted to binding arbitration under the AFSA Arbitration Rules in South Africa. Nothing prevents either party from seeking urgent relief in a court of competent jurisdiction.

17. Changes to Terms

We may update these Terms at any time. Material changes will be communicated by email and in-app notification at least 30 days before the effective date. Continued use after the effective date constitutes acceptance.
